BusinessExchange SG is an online marketplace that connects business owners, entrepreneurs and investors.

BusinessExchange SG is not:

• A business broker
• A real estate agency
• A financial adviser
• A legal adviser
• An accountant
• An investment adviser
• A valuation firm
• A party to any transaction between buyers and sellers

Our role is solely to provide a platform that enables users to advertise businesses and connect with one another.

You must be at least 18 years old to use the platform.

By creating an account, you confirm that:

• The information you provide is accurate.
• You have the legal authority to enter into agreements.
• You will comply with all applicable laws.

Sellers are solely responsible for all information submitted.

This includes:

• Business descriptions
• Financial information
• Revenue figures
• Profit ranges
• Photos
• Asking prices
• Contact details
• Any supporting information

BusinessExchange SG does not independently verify the accuracy or completeness of listing information.

We reserve the right to reject, edit, suspend or remove listings that:

• Contain misleading information
• Violate applicable laws
• Infringe intellectual property rights
• Contain offensive or inappropriate material
• Damage the integrity of the platform

Buyers acknowledge that BusinessExchange SG does not investigate or verify businesses listed on the platform.

Before entering into any purchase, investment or agreement, buyers are solely responsible for conducting their own independent due diligence.

This may include obtaining professional advice from:

• Lawyers
• Accountants
• Tax advisers
• Financial advisers
• Valuation professionals

BusinessExchange SG does not guarantee the quality, financial performance, ownership, legality or viability of any listed business.

Sellers represent and warrant that:

• They own the business or have authority to advertise it.
• Information provided is accurate to the best of their knowledge.
• They will promptly update inaccurate information.
• They will respond honestly to buyer enquiries.

Sellers remain solely responsible for negotiations and any agreements reached with buyers.

BusinessExchange SG currently offers:

• One complimentary business listing per verified account.
• Additional listings at SGD $88 per listing.

Unless otherwise stated:

• Listing fees are non-refundable once a listing has been submitted for review.
• Payments are processed securely through third-party payment providers.

BusinessExchange SG reserves the right to change pricing at any time. Any changes will not affect listings already paid for.

Users retain ownership of the content they upload.

By submitting content to BusinessExchange SG, you grant us a non-exclusive, worldwide, royalty-free licence to:

• Display listings
• Promote listings
• Reproduce listing content within the platform
• Use uploaded materials for marketing the platform

You confirm that you own or have permission to use all uploaded content.

Users must not:

• Submit false or misleading listings.
• Impersonate another person or business.
• Upload unlawful or infringing content.
• Attempt to gain unauthorised access to the platform.
• Interfere with platform operations.
• Harvest user information without consent.
• Upload malware or malicious software.
• Use the platform for illegal purposes.

BusinessExchange SG may suspend or terminate accounts that breach these Terms.

BusinessExchange SG provides a means for buyers and sellers to connect.

Any negotiations, agreements, contracts, payments or transfers occur directly between users.

BusinessExchange SG is not responsible for:

• Negotiation outcomes
• Purchase agreements
• Deposits
• Business valuations
• Settlement arrangements
• Transfer of ownership
• Post-sale disputes

To the maximum extent permitted by law, BusinessExchange SG and HRTG Pte. Ltd. shall not be liable for any direct, indirect, incidental, consequential or special losses arising from:

• Use of the platform
• Reliance on listing information
• Failed negotiations
• Business transactions
• Investment decisions
• Loss of profits
• Business interruption
• Data loss

Users assume all risks associated with buying, selling or investing in businesses.

BusinessExchange SG makes no representations or warranties regarding:

• Accuracy of listings
• Financial performance
• Business ownership
• Legal compliance
• Business profitability
• Future business success

All listings are published based on information supplied by users.

BusinessExchange SG does not endorse any business, seller or buyer unless expressly stated.

We reserve the right to suspend or terminate accounts that:

• Breach these Terms.
• Engage in fraudulent activity.
• Misuse the platform.
• Harm other users.
• Damage the reputation of BusinessExchange SG.

Your use of the platform is also governed by our Privacy Policy.

By using BusinessExchange SG, you consent to the collection and processing of personal data as described in that policy.

BusinessExchange SG may revise these Terms from time to time.

Updated versions will be published on the website with a revised effective date.

Continued use of the platform constitutes acceptance of the updated Terms.

These Terms shall be governed by and interpreted in accordance with the laws of the Republic of Singapore.

Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Singapore.
